Advertising Agreement

This Advertising Agreement ("Agreement") is entered into as of [Date] by and between Law Firm Alliance Inc , a corporation with its principal place of business at 4343 Shallowford Rd Suite 121, Marietta, GA 30062, USA (hereinafter referred to as "Publisher"), and [Advertiser Name], located at [Advertiser Address] (hereinafter referred to as "Advertiser").

This Agreement outlines the terms and conditions under which Advertiser may advertise on Publisher's website(s) and/or platforms. Both parties agree to abide by the following terms:

1. Scope of Advertising Services

1.1 The Publisher agrees to provide advertising space on its website(s) and/or digital platforms for the Advertiser’s promotional content.
1.2 The Advertiser agrees to provide all necessary creative materials (e.g., banners, text ads, videos) in compliance with Publisher’s specifications and Microsoft Ads policies.

2. Payment Terms

2.1 The Advertiser agrees to pay the Publisher for the advertising services rendered based on the agreed-upon pricing model, such as Cost-Per-Click (CPC), Cost-Per-Impression (CPM), or flat-rate fees.
2.2 Payments shall be made within [X] days of receiving an invoice from the Publisher. Late payments will incur a penalty of [X]% per month.
2.3 All payments must be made via [Payment Method], and invoices will be sent to [Advertiser Email].

3. Compliance with Microsoft Ads Policies

3.1 Both parties agree to comply with Microsoft Ads policies, including but not limited to:

• Prohibition of misleading or deceptive content.
• Adherence to copyright, trademark, and intellectual property laws.
• Avoidance of prohibited content such as illegal activities, adult content, or hate speech.
  3.2 The Advertiser acknowledges that failure to comply with these policies may result in the suspension or termination of this Agreement.

4. Content Approval

4.1 The Publisher reserves the right to review and approve all advertising content before it is published.
4.2 If the Publisher determines that any content violates this Agreement or applicable laws, the Publisher may reject or remove the content without prior notice.

5. Term and Termination

5.1 This Agreement shall commence on [Start Date] and continue until [End Date], unless terminated earlier by either party.
5.2 Either party may terminate this Agreement with [X] days’ written notice to the other party.
5.3 Upon termination, the Advertiser shall pay for all advertising services rendered up to the termination date.

6.2 The Publisher is not liable for any losses incurred by the Advertiser due to technical issues, downtime, or changes in advertising algorithms.

7. Confidentiality

7.1 Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the term of this Agreement.
7.2 This obligation shall survive the termination of this Agreement.

8. Governing Law

8.1 This Agreement shall be governed by and construed in accordance with the laws of the State of Georgia, USA.
8.2 Any disputes arising under this Agreement shall be resolved in the courts of Cobb County, Georgia.

10. Entire Agreement

10.1 This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements, representations, or understandings, whether written or oral.
10.2 Any amendments to this Agreement must be made in writing and signed by both parties.
